WHAT YOU’LL DO

We are looking for a seasoned Head of Finance and M&A to lead our financial operations and play a pivotal role in our mergers and acquisitions strategy.

Based in Geneva and reporting to the CEO & Founder, with a team of 2 people, this management role will oversee financial operations, develop M&A strategies, lead acquisitions from due diligence to integration, and maintain strong investor relations to support our ambitious growth objectives in the SaaS industry.

FINANCE 

Business planning:

  • Set financial targets and accurately and effectively monitor delivery against them

  • Prepare all forecasts and “own” them, including commentary, perspective, and insight into performance. Updates will be ongoing to ensure early and proactive visibility and transparency amongst all stakeholders

  • Lead the yearly budgeting process: Working with executive teams across Europe, US, and China to ensure the annual financial plan is appropriate and capable of delivering set targets

  • Develop and monitor budgets

    Accounting (dedicated FTE 80%):

  • Supervise & verify the overall accounting operations issues by the accounting team/partner

  • Book of confidential transactions

  • Lead the verification of salaries and suppliers' payments

    Finance & management control:

  • Prepare the business performance & financial results (including consolidation) presentation for the Board & Partners Executive Committee 

  • Cash flow forecasting and monitoring

  • Manage the closing accounts in coordination with internal and external teams (accountants, auditors)

    Others :

  • Act as a sparring partner to support the BU’s into developing their businesses 

  • Supervise and co-manage the profitability analysis by client/industry/service line

  • Supervise all administrative and IT operations-related activities

  • Advise and liaise with external partners on legal-related matters

  • Set up of stock-options plan and other relevant incentives

     

    M&A AND FUNDRAISING 

    Strategic Planning and Acquisition Roadmap:

  • Support the creation of the roadmap for a “buy and build”: acquiring at least three SaaS companies within three years

  • Participate in potential acquisition target identification, conduct market research, and build relationships with target companies

  • Assess and mitigate financial, operational, and legal risks associated with acquisitions and fundraising

    M&A Execution:

  • Lead the end-to-end process of acquisitions, including deal structuring, negotiations, and due diligence

  • Oversee the valuation and financial modeling for potential acquisitions, ensuring they align with the company's financial objectives

  • Collaborate with the management team of acquired companies to ensure successful integration

    Fundraising and Investor Relations:

  • Develop a comprehensive fundraising strategy to support acquisition activities together with the CEO 

  • Build strong relationships with investors, including venture capital firms and family offices

  • Lead the preparation and presentation of financial reports, business plans, and investment cases for potential investors

  • Manage the fundraising process, including negotiations, due diligence, and closing

     

    WHAT YOU WILL NEED TO BE GREAT IN THIS ROLE

  • 3-5 years minimum in Audit at a Big4 (or equivalent) firm, coupled with small-cap transactions/M&A experience 

  • A degree from a Business school or engineering school

  • Proven experience in Mergers & Acquisitions, and Fundraising (start-up experience preferred) 

  • In-depth knowledge of corporate financial law and risk management practices

  • Excellent understanding of data analysis and forecasting methods

  • Strong analytical skills with the ability to interpret data and identify strategic insights

  • Effective communicator, capable of presenting complex topics clearly to various stakeholders

  • Strategic thinker with strong execution skills

  • Fluent in English and French
