Sr. Director, Associate General Counsel – Commercial (Remote)

Reporting to the Deputy GC, the Associate GC - Commercial is responsible for leading Omnicell’s highly skilled team of attorney & legal professionals, establishing & executing on the Company’s contracting strategy, advising on strategic commercial go to market matters, and negotiating escalated agreements. Commercial matters for both the parent and subsidiaries will roll up to this role. While this highly visible and strategic role will work with stakeholders and legal colleagues across the global organization and should have a strong business advisor mindset, the Associate GC will collaborate most closely with sales, finance, and product stakeholders as well as legal colleagues in product/privacy. This is a remote US-based role. A preferred candidate will be based in the following locations: Dallas, TX, Austin, TX, or Pittsburgh, PA.

Responsibilities:

  • Develop a deep understanding of the Company’s business model and strategic objectives and operations of internal business partners to ensure they are effectively accounted for in the Company’s contracting strategy.

  • Structure contract templates, risk profile descriptions and matrices, playbooks, and other tools for negotiating sales agreements (including talking points for both legal & sales on contract positioning).

  • Execute on company’s go to market strategy.

  • Represent legal at executive committee reviews of commercial arrangements

  • Advise on go-to-market risk profile considerations and mitigations.

  • Structure and negotiate strategic sell-side agreements with customers and ecosystem partners.

  • Develop, motivate, and provide strategic leadership to a global team of attorneys and contract managers who negotiate sophisticated, complex commercial and strategic agreements, including capital and software agreements, SaaS and XaaS agreements, and reseller and distribution agreements.

  • Coordinate workflow, manage resources and maximize the output by channeling work to appropriate persons, standardizing processes, and leveraging technology solutions.

  • Train Sales and other business stakeholders on contract terms, negotiation and mitigation strategies, and best practices.

  • Establish and track key metrics/benchmarks around customer negotiations, deal velocity, and managing company risk, to enable service and process improvements

Required Knowledge & Skills:

  • Initiative and critical thought to identify issues for both the business and legal impact and offer pragmatic, actionable solutions

  • Strong prioritization and organization skills that enable consistent delivery of high-quality results across multiple competing priorities under tight timeframes

  • Outstanding interpersonal skills; ability to form strong relationships with internal teams

  • Highly effective communicator who translates complex legal concepts into practical, actionable business advice

  • Ability to lead cross-functional teams, and be persuasive up, down, and across the organization to solve problems while protecting company interests

  • Firm understanding of revenue recognition principles

  • An inspiring leader and team player who pitches in and collaborates effectively within cross-functional

  • Ability to help drive Omnicell’s transformation from a hardware-focused company to an advanced service delivery and solutions-based services company

Basic Qualifications:

  • J.D. degree; member in good standing of a state Bar

  • 10+ years of experience drafting, reviewing, and negotiating directly with counterparties sophisticated technology transaction agreements

  • 10+ years working directly with sales organizations.

  • 6+ years of experience managing lawyers and legal professionals

  • 5+ years SaaS and professional services contracting experience

  • Experience integrating contract templates and contracting policies and processes of acquired companies

  • Experience setting up contract centers of excellence.

Preferred Qualifications:

  • Healthcare industry experience, including experience with GPOs, IDNs, and other large healthcare groups

  • Government contracting experience and management, including both D.o.D and VA

  • Experience with Salesforce and SAP

Work Conditions:

  • Travel up to 20%
